These terms are an agreement between you and Regression Analytics LLC, doing business as SmartMemory, a Florida limited liability company. They govern your use of SmartMemory, including the web applications, the APIs, the SDKs, the hosted connector server, the browser extension, and companion integrations such as the Maya Discord bot. We call all of that the Service. By creating an account or using the Service you agree to these terms. If you do not agree, do not use the Service.
Our Privacy Policy is part of this agreement.
SmartMemory is a memory system for people and AI agents. It stores the content you choose to save, structures it with AI processing, and makes it searchable and retrievable through our applications, our API, and connected AI clients.
We offer a Free plan, two paid plans (Pro and Team), and an Enterprise plan. What each plan includes, and its limits, are described on our pricing page. Parts of the Service are offered as a beta. Beta features may change, break, or be withdrawn without notice.
You agree not to:
We may suspend access that we reasonably believe is causing harm to the Service or to other users, and we will tell you why.
You own the content you save to SmartMemory. You grant us a limited, worldwide, non-exclusive licence to host, store, process, transmit, and display that content only so that we can operate the Service for you. That licence ends when you delete the content or close your account. We do not use your content to train AI models and we do not sell it. You can export or delete your content at any time, as described in our Privacy Policy.
You are responsible for having the right to store what you store, including content that belongs to other people or to your employer.
The Service uses AI models to extract entities, build relationships, summarize, and generate text. Memory retrieval and extraction are probabilistic. Results can be incomplete, out of date, or simply wrong, and a search may miss something that is stored. AI output is provided for your convenience, it is not professional advice, and you are responsible for verifying anything important before you act on it.
You can connect a third-party AI client, such as Claude or ChatGPT, to SmartMemory through our hosted connector server. When you approve a connection, that client acts on your instruction and with your permissions. Anything it reads, writes, or deletes in your workspace is treated as if you did it yourself.
We do not control those clients and we are not responsible for how they behave, for what they do with data they retrieve from your workspace, or for their own terms and pricing. You can end a connection at any time by disconnecting SmartMemory inside the client, by deleting the relevant API key in your account settings, or by contacting us.
Paid plans are billed through Stripe. Subscriptions renew automatically for the same period until you cancel, and fees are charged in advance. Prices and plan limits can change, and we will give notice before a change affects a period you have already paid for.
Team is billed per seat, with a minimum of two seats. The person who buys a Team subscription pays for every seat on it and is responsible for who they invite. Each seat is for one person. Agents and API keys a seat holder creates count toward that seat, not a seat of their own. Seats added during a billing period are prorated and renew on the same date as the rest of the Team.
Pro and Team come with a 30-day money-back guarantee. If a paid plan is not right for you, ask us within 30 days of your first payment and we will refund it, no questions asked. Other fees are non-refundable except where the law says otherwise.
You can cancel at any time and you keep access until the end of the period you have paid for. If you downgrade and your data is above the limits of the smaller plan, we do not delete anything. Your workspace becomes read-only for new writes until you upgrade again or remove enough data to fit.
If you are in our private beta, you have also accepted the SmartMemory Beta Non-Disclosure Agreement. That agreement covers confidentiality, feedback, and the pre-release nature of the software, and it applies alongside these terms until we retire it. Where the beta agreement and these terms differ on a beta feature, the beta agreement wins.
We work to keep the Service available but we do not guarantee uninterrupted operation. We may modify or discontinue features, and we will give reasonable notice of material changes where that is practical.
You may stop using the Service and close your account at any time. We may suspend or terminate an account that breaks these terms, or that we are required to close by law. Export your data before you close your account. After termination we delete or anonymize your data as described in the Privacy Policy.
The Service is provided as is and as available, without warranties of any kind, express or implied, including any implied warranty of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be error free or that stored data will always be retrievable, so keep your own copy of anything you cannot afford to lose.
To the maximum extent permitted by law, our total liability for all claims arising out of or relating to the Service is limited to the amount you paid us in the 12 months before the claim. We are not liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data. Some jurisdictions do not allow these limits, in which case they apply to the fullest extent the law allows.
These terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law rules. Any dispute arising out of these terms or the Service will be brought in the state or federal courts located in Florida, and both sides consent to the jurisdiction of those courts.
We may update these terms. For material changes we will notify you by email or an in-app notice at least 14 days before they take effect, and we will move the date at the top of this page. Continued use after that date means you accept the updated terms.
